  • Network Solutions
  • Cloud Services
  • Cybersecurity
  • Technology Integration

The specific scope, deliverables, and terms of each engagement will be defined in a separate service agreement or statement of work.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

For client projects, ownership of deliverables will be specified in the applicable service agreement.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of results

We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee specific outcomes or results from our services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUGEYE TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, revenue, or business opportunities
  • Damages resulting from data loss or corruption
  • Damages resulting from unauthorized access to your systems
  • Damages exceeding the total amount paid by you in the twelve (12) months preceding the claim

This limitation applies regardless of the legal theory under which damages are sought.

9. Indemnification

You agree to indemnify, defend, and hold harmless BUGEYE TECHNOLOGIES, INC., its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws

10. Third-Party Services

Our services may integrate with or link to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is subject to their respective terms and policies.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of our engagement. Confidential information shall not be disclosed to third parties without written consent, except as required by law.

12. Payment Terms

Payment terms, including fees, billing cycles, and payment methods, will be specified in your service agreement. Unless otherwise agreed:

  • Payment is due within thirty (30) days of invoice date
  • Late payments may incur interest at the rate of 1.5% per month
  • We reserve the right to suspend services for unpaid accounts

13. Termination

These Terms shall remain in effect until terminated. Either party may terminate:

  • By providing written notice as specified in your service agreement
  • Immediately if the other party materially breaches these Terms
  • Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination:

  • Your right to use our services will cease
  • We will provide reasonable assistance in transitioning your data
  • Provisions that by their nature should survive termination shall remain in effect

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles.

Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Franklin County, Missouri. You consent to personal jurisdiction in such courts.

15. Dispute Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at info@bugeyetechno.com. If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or through the courts as specified above.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date. Continued use of our services after such changes constitutes acceptance of the modified Terms.

17. General Provisions

  • Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement between you and BUGEYE TECHNOLOGIES, INC.
  • Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force.
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent.
  • Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control.
